Atlantic Health System is seeking a Counsel Corporate And Regulatory Affairs. Under the supervision of the Assistant General Counsel, review prepare and negotiate a full range of hospital contracts including, without limitation, clinical affiliation agreements, transfer agreements, Human Resource search and staffing agreements, contracts related to the procurement of goods and services, physician contracts, leases of space and equipment, event contracts, confidentiality and consulting agreements, transport and ambulance agreements, home health and hospice agreements and real estate contracts, assuring legal and regulatory compliance. This position is located at Morristown, NJ.


  • Serve as a primary resource for the interpretation of contractual obligations, benefits and remedies and regulatory compliance.
  • All contracting includes development of electronic database, and administrative management of contract flow. 
  • Assist the General Counsel and Assistant General Counsel on major transactions, including mergers, acquisitions, affiliations and joint ventures, serving as a resource for the management of the due diligence process.
  • Serve as a subject matter resource on healthcare laws and regulations, including, without limitation, monitoring of regulatory developments, and legal research on regulatory issues, including fraud and abuse issues, HIPAA compliance, EMTALA, Medicare and Medicaid compliance, licensure issues, pay-to-play issues, corporate governance and regulatory issues related to tax-exempt entities.
  • As required, participate in the development, review and revision of clinical and corporate policies. Review and prepare informed consents, appearance releases, consents to videotaping, etc.
  • As requested, serve as legal advisor to various committees, work groups and task forces. Work collaboratively with Risk Management, Insurance, Audit & Compliance and other key functional areas to align efforts, improve decision-making, reduce risks and improve quality outcomes.

  • Ability to work independently and serve as lead attorney on matters
  • Excellent analytical and writing skills
  • Ability to identify and resolve regulatory issues
  • A particular strength in physician contracting, including practice acquisitions, and vendors and corporate services contracting
  • Strong customer orientation with an ability to accommodate a high volume of diverse requests and to interact with team members at all levels of the organization

Minimum Education:

  • JD from an ABA-approved law school and be an active member in good standing of the New Jersey Bar required

Relevant Experience:

    • 5 years of healthcare law experience; law firm experience strongly preferred
    • Healthcare regulatory and corporate work experience, including prior experience with hospitals, Medicare and Medicaid, and federal and state healthcare regulatory issues, including fraud and abuse, the Stark Law, the Anti - Kickback Statute, and HIPPA/HITECH
    • Experience working with SaaS agreements and other technology agreements
